Terms of Service

1. Definitions

• "Service" means BPMNify, including the web application, AI conversion engine, and export features.
• "User" or "you" means any person who creates an account or uses the Service.
• "Content" means any text, documents, or data you submit for conversion.
• "Generated Diagrams" means the BPMN diagrams produced by the Service from your Content.
• "Plan" means your subscription tier (Free, Standard, Pro, or Enterprise).

2. Eligibility and Account

You must be at least 16 years old to use the Service. If you are under 18, you confirm that your parent or legal guardian has read and agreed to these Terms on your behalf.

You agree to provide accurate information when creating your account and to keep your login credentials secure. You are responsible for all activity under your account. If you become aware of any unauthorised use, contact us immediately at support@bpmnify.app.

3. Acceptable Use

You agree that you will NOT use the Service to:

• Submit Content that is unlawful, defamatory, harassing, or infringes someone else's intellectual property.
• Attempt to reverse-engineer, decompile, or extract the AI models or source code of the Service.
• Overwhelm, hack, or disrupt the Service's servers or infrastructure.
• Share your account credentials or resell access to the Service without our written permission.
• Use automated scripts (bots, scrapers) to access the Service beyond normal use.
• Submit Content containing sensitive personal information (health records, financial details) that requires special handling under the Privacy Act 2020.

We reserve the right to suspend or terminate accounts that violate these rules.

4. Subscriptions and Payment

4.1 Plans and pricing

BPMNify offers four plans: Free ($0/mo, 5 diagrams), Standard ($5/mo, 100 diagrams), Pro ($10/mo, 500 diagrams), and Enterprise ($50/mo, unlimited). Prices are in USD. Current pricing is always displayed on our pricing page.

4.2 Billing

Paid plans are billed monthly via Stripe. Your subscription renews automatically until you cancel. You can cancel anytime from your account settings — you retain access until the end of your current billing period. No refunds are issued for partial months.

4.3 Plan limits

Each plan has a monthly diagram limit. When you reach your limit, you will be prompted to upgrade. Your existing diagrams remain accessible. Unused diagrams do not roll over to the next month.

4.4 Price changes

We may change our pricing with at least 30 days' notice by email. Any price change takes effect on your next billing cycle after the notice period. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect.

5. Your Content

5.1 Ownership

You retain all ownership and intellectual property rights in the Content you submit. We do not claim ownership of your SOPs, documents, or process information.

5.2 Licence to us

You grant us a limited, non-exclusive licence to process your Content through our AI providers for the sole purpose of generating BPMN diagrams for you. This licence ends when your Content is no longer needed for processing (see Privacy Policy §6).

5.3 Generated Diagrams

The BPMN diagrams generated from your Content belong to you. You may use them for personal or commercial purposes without restriction.

6. AI-Generated Output Disclaimer

BPMNify uses artificial intelligence to generate diagrams from text. AI output may not always be accurate or complete. You are responsible for reviewing and verifying all generated diagrams before relying on them for business decisions, compliance, or client deliverables.

We do not guarantee that AI-generated diagrams will be free from errors or suitable for any particular purpose. The Service is provided as a tool to assist your work, not replace professional judgement.

7. Consumer Guarantees Act 1993

If you are a New Zealand consumer (as defined by the Consumer Guarantees Act 1993), you have certain statutory guarantees that cannot be excluded. Nothing in these Terms limits or excludes any rights you have under the Consumer Guarantees Act or any other law that cannot be excluded.

If you are acquiring the Service for business purposes, the guarantees under the Consumer Guarantees Act may not apply, and the Service is provided subject to the limitations in Section 8 below.

8. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms or your use of the Service is limited to the total amount you have paid us in the 3 months preceding the claim.
• We are not liable for any loss of data, business interruption, or damage to your systems resulting from use of the Service.
• We are not liable for the accuracy, completeness, or reliability of AI-generated diagrams.

Nothing in these Terms excludes or limits liability that cannot be excluded under New Zealand law (e.g., negligence causing personal injury, or statutory guarantees under the Consumer Guarantees Act).

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may suspend the Service for maintenance, updates, or security reasons. We are not liable for downtime caused by:

• Scheduled or emergency maintenance.
• Third-party provider outages (Firebase, Google AI, Stripe, etc.).
• Events beyond our reasonable control (force majeure): natural disasters, internet infrastructure failures, or cyberattacks.

10. Account Termination

You may delete your account at any time by contacting support@bpmnify.app. Upon deletion, your personal data and saved diagrams will be removed within 30 days (see Privacy Policy §6).

We may suspend or terminate your account if you violate these Terms, if your account is inactive for more than 12 months, or if required by law. Upon termination, all licences granted to you end immediately.

11. Intellectual Property

BPMNify, including its design, source code, branding, and documentation, is the intellectual property of Tomorrowready. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

BPMN 2.0 is an open standard maintained by the Object Management Group (OMG). BPMNify is an independent tool and is not affiliated with or endorsed by the OMG.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or a notice on the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of the Service will be resolved in the courts of New Zealand, unless we agree otherwise in writing.

Before taking legal action, we encourage you to contact us first at support@bpmnify.app. We will make a genuine effort to resolve any dispute informally.
